Please read these Terms of Service carefully before using NotaSuite. By accessing or using our service, you agree to be bound by these terms.

1. Acceptance of Terms

By creating an account or using NotaSuite (\"Service\"), you agree to these Terms of Service (\"Terms\"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including visitors, registered users, and paying subscribers.

2. Description of Service

NotaSuite is a software-as-a-service (SaaS) platform designed for mobile notary professionals. The Service provides tools for:

  • Customer relationship management (CRM)
  • Electronic notary journal record-keeping
  • Invoice creation and payment processing
  • Appointment scheduling
  • Mileage and expense tracking
  • Compliance reference information
  • Business reporting and analytics

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account. You must be a licensed notary public or associated with a notary business to use certain features of the Service.

4. Subscription Plans and Payment

4.1 Plans: NotaSuite offers multiple subscription tiers (Free, Starter, Professional, Unlimited, Unlimited+, Journal Only, and Enterprise) with varying features and limits as described on our pricing page.

4.2 Billing: Paid subscriptions are billed monthly in advance. All fees are quoted in U.S. dollars and are non-refundable except as required by law.

4.3 Payment Processing: Payments are processed by Stripe, Inc. By providing payment information, you authorize us to charge your payment method for all fees incurred.

4.4 Price Changes: We reserve the right to change prices with 30 days' notice. Price changes will take effect at the start of your next billing cycle.

5. Cancellation and Refunds

5.1 Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

5.2 Refunds: Subscription fees are generally non-refundable. We do not provide refunds for partial months of service or unused features.

5.3 Data After Cancellation: Upon cancellation, you will retain read-only access to your data for 30 days. After this period, your data may be deleted.

6. User Responsibilities

You are solely responsible for:

  • Maintaining valid notary commission(s) as required by your state(s)
  • Complying with all applicable notary laws, rules, and regulations
  • Verifying that your use of the Service meets your state's requirements
  • The accuracy and completeness of data you enter into the Service
  • Properly identifying signers and performing notarial acts
  • Maintaining appropriate bonds, insurance, and E&O coverage
  • Collecting appropriate fees and remitting any required taxes

7. Prohibited Uses

You agree not to:

  • Use the Service for any unlawful purpose
  • Violate any notary laws or professional regulations
  • Impersonate any person or entity
  • Share your account credentials with others
  • Attempt to gain unauthorized access to the Service
  • Interfere with or disrupt the Service
  • Use the Service to transmit viruses or malicious code
  • Scrape, copy, or reproduce the Service without permission
  • Use the Service in any manner that could damage or overburden our systems

8. Intellectual Property

8.1 Our Property: The Service, including all content, features, and functionality, is owned by NotaSuite and protected by copyright, trademark, and other intellectual property laws.

8.2 Your Data: You retain ownership of all data you input into the Service. By using the Service, you grant us a limited license to use, store, and process your data solely to provide the Service.

9. Third-Party Services

The Service integrates with third-party services including Stripe (payments), Google Calendar, and others. Your use of these services is governed by their respective terms of service. We are not responsible for the actions or policies of third-party services.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED \"AS IS\" AND \"AS AVAILABLE\" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOTASUITE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless NotaSuite and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or the rights of any third party.

13. Termination

We may terminate or suspend your account immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the modified Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of [YOUR STATE], without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts of [YOUR STATE/COUNTY].
